If you are planning to register a business in Nepal, having a clear idea of the budget and time involved is essential. Let's break it down in simple terms.

 

Part 1: The Cost of Registration

The total cost can be divided into two parts: Government Fees and Professional Fees

 

A. Government Registration Fees

This fee is paid to the Office of the Company Registrar (OCR) and depends entirely on your authorized capital. Authorized capital is the maximum amount of shares your company is allowed to issue. Note: You don't need to have all this cash in the bank immediately, but it defines the size of your company.

Total Estimated Cost: For a small business with a capital of NPR 100,000, you are looking at a total investment of roughly NPR 12,000 to 15,000 to get your company legally registered.

 

Part 2: The Timeline

If all your documents are ready and your company name is approved, the process is quite fast thanks to the online system .

  • Name Approval: 1 to 2 working days.

  • Document Review & Certificate Issuance: 3 to 7 working days.

  • Total Time: You can have your company in hand in approximately 1 to 2 weeks.

 

Part 3: The Document Checklist

To avoid delays, keep these documents ready :

  1. Citizenship Certificates: Of all the promoters (founders). Notarized copies are usually accepted.( Changed address in case of change of name of address)

  2. National Identity Card (NID) : Of all promoters.

  3. Memorandum of Association (MOA): This is a critical document. It must clearly state the main objectives of your company.

  4. Articles of Association (AOA): The internal rules for managing your company.

  5. Proof of Registered Office: A rental/lease agreement or the title deed of the property where your office will be located.
